Terms of Service

These Terms of Service ("Terms") govern your access to and use of Spotlist, including the Spotlist website, playlist leaderboards, playlist listings, Boost functionality, and related services (collectively, the "Service").

Spotlist is operated by Truezone Inc. ("Truezone," "Spotlist," "we," "us," or "our").

By accessing or using Spotlist, submitting a playlist, or purchasing a Boost, you agree to these Terms. If you do not agree, do not use the Service.

1. What Spotlist Is

Spotlist is a public leaderboard exclusively for Spotify playlists.

Users can claim eligible playlists on Spotlist and purchase Boosts for playlists already listed. Boosts contribute to a playlist's ranking on Spotlist leaderboards.

Spotlist is an independent promotional ranking service. Unless expressly stated otherwise, Truezone Inc. does not own, operate, or control the Spotify playlists displayed on Spotlist, and Spotlist is not affiliated with Spotify.

2. Playlist Listings

A playlist listing may contain information such as:

  • Playlist title
  • Creator name
  • Playlist artwork
  • Spotify playlist URL
  • Category
  • Track and save counts when available
  • Boost totals
  • Ranking
  • Outbound click statistics

Playlist information may be obtained from a submitted Spotify playlist URL or otherwise processed by Spotlist.

We do not guarantee that playlist information is complete, accurate, current, or error-free.

Playlist titles, artwork, visibility, and other metadata may change on Spotify without being immediately reflected on Spotlist.

3. Adding Playlists

You may submit an eligible playlist to Spotlist by providing its Spotify playlist URL and a category.

A submission must link to a public Spotify playlist rather than a track, album, artist, user profile, or unrelated page.

You must not knowingly provide false, misleading, fraudulent, or materially inaccurate information.

Submitting a playlist does not mean that you represent, own, or control that playlist.

You may submit products belonging to third parties, provided that your submission and use of the Service comply with these Terms and applicable law.

Spotlist may normalize, modify, or remove URL parameters, including tracking, referral, affiliate, and similar parameters.

4. Boosts

A "Boost" is a paid action that contributes to a playlist's ranking on Spotlist.

Anyone may Boost an eligible playlist. You do not need to be the playlist's creator, owner, or original submitter.

Boosting a playlist:

  • increases the amount attributed to that playlist for applicable rankings;
  • may change the playlist's position on one or more leaderboards;
  • does not purchase or transfer the playlist;
  • does not guarantee streams, followers, saves, clicks, or any other result on Spotify;
  • does not give you ownership of the playlist listing;
  • does not give you editing, management, removal, or administrative rights over the listing; and
  • does not establish any partnership, agency, sponsorship, endorsement, or other relationship between you, Spotlist, or Spotify.

Rankings may change at any time when other playlists receive Boosts.

5. Rankings

Spotlist ranks playlists according to the rules displayed for the applicable leaderboard.

Different leaderboards may measure Boost activity across different time periods or categories.

A playlist's position is not permanent. Other playlists may move above or below it as additional Boosts are completed or as the applicable ranking period changes.

Spotlist may implement reasonable technical rules for ties, invalid payments, duplicate playlists, fraudulent activity, payment reversals, and similar circumstances.

We may correct rankings where necessary to address technical errors, abuse, fraudulent activity, payment reversals, or violations of these Terms.

6. Payments

Boosts require payment.

Payments may be processed by third-party payment service providers. Your payment may therefore also be subject to the payment provider's applicable terms and privacy practices.

A Boost is credited only after Spotlist receives confirmation that the applicable payment has been successfully completed.

Displayed prices and checkout amounts may include applicable taxes where required.

You are responsible for providing accurate payment and billing information.

A payment for a Boost is a payment for ranking activity on Spotlist. It is not payment for the playlist or for any Spotify result.

7. Refunds

Except where required by applicable law or expressly stated otherwise by Spotlist, completed Boost payments are final and non-refundable once the Boost has been applied.

A change in ranking after your Boost does not entitle you to a refund.

You are also not entitled to a refund merely because a Boost produces fewer clicks, visits, sales, impressions, or other results than you expected.

We may issue refunds or reverse Boosts where appropriate in cases involving duplicate payments, technical failures, payment-processing errors, fraud, or other exceptional circumstances.

Nothing in this section limits any non-waivable rights you may have under applicable consumer protection law.

8. Opening Playlists on Spotify

Spotlist does not sell the playlists displayed on its leaderboards and is not affiliated with Spotify.

When you click a playlist or ADD PLAYLIST, you may be redirected to Spotify or another third-party website.

Any purchase you make on that website is a transaction between you and the applicable third party.

Truezone Inc. is not responsible for:

  • product availability;
  • product quality or safety;
  • pricing or pricing errors;
  • shipping or delivery;
  • returns or refunds for the underlying product;
  • warranties;
  • taxes charged by the seller;
  • customer service;
  • seller representations; or
  • disputes between you and the seller.

You should review the seller's terms and policies before making a purchase.

9. No Endorsement

The presence, position, or ranking of a product on Spotlist does not constitute an endorsement, recommendation, certification, or guarantee by Truezone Inc.

A high ranking means that the product has accumulated qualifying Boost activity under the applicable leaderboard rules. It does not necessarily indicate product quality, popularity, sales volume, customer satisfaction, or an independent evaluation by Spotlist.

Users should make their own purchasing decisions.

10. Prohibited Products and Content

You may not use Spotlist to submit, promote, Boost, link to, or otherwise facilitate content or products that:

  • are illegal to sell, advertise, possess, or distribute;
  • infringe intellectual property or other third-party rights;
  • are counterfeit, fraudulent, stolen, or intentionally misrepresented;
  • contain malware, phishing, deceptive redirects, or other malicious content;
  • promote fraud, scams, or unlawful activity;
  • contain unlawful sexual content or exploitation;
  • promote terrorism, violent extremism, or unlawful hate-based activity;
  • violate applicable sanctions, trade restrictions, or export-control laws; or
  • otherwise violate these Terms or applicable law.

We may establish additional restrictions for particular product categories, jurisdictions, payment providers, or markets.

We may reject or remove any listing at our discretion where reasonably necessary to protect Spotlist, its users, third parties, payment providers, or legal compliance.

11. Intellectual Property

Spotlist and its underlying software, design, branding, logos, interface, databases, and original content are owned by Truezone Inc. or its licensors and are protected by applicable intellectual property laws.

Product names, trademarks, logos, photographs, and other materials relating to third-party products remain the property of their respective owners.

Submitting a product does not transfer ownership of any intellectual property to Spotlist.

To the extent you provide content directly to Spotlist, you grant Truezone Inc. a worldwide, non-exclusive, royalty-free license to host, reproduce, display, resize, format, and otherwise use that content as reasonably necessary to operate, display, promote, and improve the Service.

You represent that you have the rights or lawful basis necessary to provide any content you upload directly to Spotlist.

12. Intellectual Property Complaints

If you believe content displayed on Spotlist infringes your intellectual property rights, you may contact us and identify:

  • the protected work or right;
  • the Spotlist listing at issue;
  • the allegedly infringing material;
  • your contact information; and
  • sufficient information for us to evaluate the request.

We may remove or restrict content while reviewing a legitimate complaint.

13. Abuse and Manipulation

You may not attempt to manipulate Spotlist through fraudulent payments, payment abuse, automated attacks, unauthorized access, malicious traffic, exploitation of technical vulnerabilities, or other abusive behavior.

You may not interfere with the normal operation of the Service or attempt to bypass technical, security, payment, ranking, or access controls.

We may remove Boosts, adjust rankings, block access, restrict submissions, or take other reasonable action where we identify abuse.

14. Third-Party Websites

Spotlist contains links to websites and services operated by third parties.

We do not control those services and are not responsible for their content, availability, security, privacy practices, products, or conduct.

Following an external link is at your own discretion and risk.

15. Availability and Changes to the Service

We may modify, update, suspend, restrict, or discontinue any part of Spotlist.

This may include changes to:

  • leaderboard mechanics;
  • categories;
  • markets;
  • ranking periods;
  • Boost rules;
  • minimum or maximum Boost amounts;
  • product eligibility;
  • listing requirements;
  • user interfaces; or
  • other Service functionality.

We will not intentionally alter completed payment records merely to change historical Boost amounts, except where necessary to correct errors, reversals, fraud, abuse, or legal/compliance issues.

We do not guarantee that the Service will always be available, uninterrupted, secure, or error-free.

16. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Spotlist and the Service are provided on an "as is" and "as available" basis.

Truezone Inc. makes no warranties, express or implied, regarding the Service, product listings, rankings, third-party products, external websites, availability, accuracy, merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee any particular ranking duration, traffic level, click volume, commercial result, or return from purchasing a Boost.

Some jurisdictions do not permit certain warranty exclusions, so some of these exclusions may not apply to you.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Truezone Inc. and its directors, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of Spotlist.

This includes, without limitation, loss of profits, revenue, business opportunities, data, goodwill, expected traffic, sales, or other commercial results.

To the maximum extent permitted by applicable law, Truezone Inc.'s aggregate liability arising from or relating to a paid Boost will not exceed the amount you paid to Truezone Inc. for the Boost giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

18. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Truezone Inc. and its directors, officers, employees, contractors, and affiliates from claims, liabilities, damages, losses, and reasonable expenses arising from:

  • content you submit;
  • your violation of these Terms;
  • your misuse of the Service;
  • your infringement of third-party rights; or
  • unlawful activity conducted through your use of Spotlist.

19. Suspension and Removal

We may reject, hide, restrict, or remove listings and may restrict access to Spotlist where reasonably necessary because of:

  • violation of these Terms;
  • suspected fraud or payment abuse;
  • intellectual property complaints;
  • legal or regulatory requirements;
  • payment-provider requirements;
  • security concerns;
  • harmful or deceptive content; or
  • threats to the integrity of the Service.

Removal of a listing does not automatically create a right to a refund, except where required by applicable law.

20. Privacy

Our collection and use of personal information is described in the Spotlist Privacy Policy.

By using the Service, you acknowledge that information will be processed as described in that policy.

21. Changes to These Terms

We may update these Terms from time to time.

When we make changes, we will update the "Last updated" date at the top of this page.

Your continued use of Spotlist after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

22. Governing Law

These Terms and disputes relating to the Service will be governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles, except where mandatory consumer protection laws require otherwise.

Any dispute will be subject to the jurisdiction of the competent courts applicable to Truezone Inc., unless applicable law gives you the right to bring proceedings elsewhere.
